Terms of Service

I. Introduction

Welcome to the CozyPal dating service! CozyPal is an APP relying on AI intelligent matching technology, with AI-hosted social networking as its core, building lightweight dating scenarios to help users achieve efficient and precise socialization.

This Service Agreement (hereinafter referred to as "this Agreement") is entered into by and between you and TENSORIS TECHNOLOGY (HK) LIMITED (hereinafter referred to as "CozyPal", "we", "us", or "the Company"). These terms and all provisions contained herein are intended to regulate your use of this Service and protect the rights and interests of both parties in accordance with the relevant laws of California, USA.

By using our services, you expressly agree to be bound by and accept all terms of this Agreement, our Privacy Policy, CozyPal Membership Service Agreement, Recharge Service Agreement, and other applicable terms.

If you do not agree to any part of this Agreement, the Privacy Policy, the CozyPal Membership Service Agreement, or the Recharge Service Agreement, or if you are under 18 years of age, or under the age of majority in your country of residence (whichever is older), please immediately stop using our services.

When you check the "I Agree" button, it indicates that you have read, understood, and agreed to accept all terms of this Agreement. If you do not directly agree to and accept this Agreement, you will not be able to use our services.

We indicate the last updated date of this Agreement at the top of the page. Any changes or modifications will take effect immediately upon the posting of the revised content to CozyPal, and your use of the services after such posting signifies your acceptance of the revised agreement. You should frequently review this Agreement and all applicable terms and policies to understand the terms applicable to your use of the services. If you do not agree to the revised terms, you must stop using the services.

We kindly ask you to familiarize yourself with all the terms set forth in this Agreement. If you are unclear about any term of this Agreement, we recommend that you contact the Company directly via email at cozypal@cozypal.chat.

II. Eligibility

This Service is only open to individuals who meet all of the following conditions:

1. We only provide services to persons who have reached the legal age of majority in their country of residence or are 18 years of age and older (whichever is older);
2. You have the legal capacity to enter into a binding contract with CozyPal;
3. You are not located in a country embargoed by the U.S. government, or designated by the U.S. government as a "terrorist-supporting" country;
4. You are not on any U.S. government list of prohibited or restricted parties (such as the U.S. Treasury Department's list of Specially Designated Nationals or similar government agency lists), nor subject to any other similar bans;
5. You are not prohibited by law from using our services;
6. You have not been convicted of, or subject to similar dispositions for, sex crimes, violent crimes, or fraud;
7. You have not been previously removed from the services by us or our affiliates, unless you have obtained our explicit written permission to recreate an account;
8. You commit to complying with this Agreement, the Privacy Policy, and all rules published by this Platform from time to time.

Using this Service indicates that you declare and warrant that you meet all the above conditions; if at any time you no longer meet these requirements, all authorizations to access the services or systems will be automatically revoked, and you must immediately delete your account. We reserve the right to terminate your access to the services at our sole discretion and without notice.

You acknowledge and agree: All actions, including chatting, interacting, and matching, carried out on this Platform by the AI agent you actively activate and configure, are fully authorized by you, are deemed as your personal actions, and you shall independently bear all legal responsibilities.

III. Important Notices

We kindly ask you to pay attention to the following:

1. If you use tools such as a VPN or proxy to conceal your actual location, you may violate applicable laws, and you must take full responsibility for any consequences;
2. You are prohibited from submitting data unrelated to personal information. We are not responsible for any claims, damages, or liabilities arising from your unauthorized submission of other people's files or data;
3. CozyPal is not responsible for any of your actions or what you write or say during your use of the services. However, if we receive complaints from third parties or other users, and the complaint is related to information you uploaded, shared, or disclosed in the services, and we determine at our sole discretion that the information violates applicable laws, regulations, this Agreement, or any terms of the Privacy Policy, we have the right to delete the content or data directly without prior notice or your consent;
4. We do not participate in disputes or controversies between users; you must take full responsibility for all content you publish, share, or disclose;
5. Platform paid subscription packages automatically renew by default according to the subscription cycle and the current renewal price. If you choose to cancel the automatic renewal upon the expiration of the subscription service, you can do so more than 24 hours before expiration; you cannot cancel within 24 hours of expiration. The cancellation path is through your Apple ID account settings. Partial refunds are not provided for the paid cycle, and the service remains valid until the end of the current cycle.
6. CozyPal is a service provider. In accordance with Section 230 of the U.S. Communications Decency Act, CozyPal assumes no responsibility for content generated by users or AI agents. CozyPal also does not conduct identity verification, background checks, or criminal record checks on anyone who becomes our user; you are fully responsible for all communications and interactions with other users;
7. CozyPal will timely adjust, optimize, or update some service content based on product iteration needs. Unless otherwise specified, this Agreement shall uniformly apply to all adjusted services;
8. CozyPal also has the right to suspend or remove some service functions according to actual operational circumstances. You understand and agree that CozyPal shall not bear any responsibility to you and any third party for any service optimization adjustments, temporary suspensions, or functional offline status. Meanwhile, CozyPal reserves the right to update or revise this Agreement, any part of this Agreement, and/or any other documents mentioned in this Agreement at any time. Please regularly check the content of the Agreement to keep abreast of the latest rules. CozyPal may also notify you of any changes, modifications, or revisions to this Agreement at appropriate locations within the APP.
9. Since this Service is provided electronically, if you wish to use this Service, you must agree to CozyPal providing important information electronically. You agree to receive this Agreement, notices, disclosures, information, policies, and other materials in electronic form (collectively "Electronic Records") rather than paper form, pursuant to the Electronic Signatures in Global and National Commerce Act ("E-SIGN"). You agree that receiving Electronic Records applies to all notices, disclosures, documents, records, or any other type of materials CozyPal may need to provide you. Electronic Records will be provided in our APP, sent to the email associated with your profile, or provided to you by other means.
10. You understand that you are responsible for maintaining the confidentiality of the username and password in your personal profile, and you are fully responsible for all activities that occur under your username and password, including the purchase of any of our paid services. You agree to notify CozyPal immediately if you suspect unauthorized use of your username or password or any other security breach. You acknowledge that CozyPal is not responsible for any loss or damage caused by the theft or misappropriation of your username or password. Your personal profile may only be used for personal purposes; you may not authorize others to use your personal profile, nor may you use and/or attempt to use the personal profiles of other users.
11. CozyPal will collect, process, store, and share your data in accordance with the provisions of the Privacy Policy. If you use our services, it indicates your agreement to all terms in the Privacy Policy, and you declare and warrant that all data you provide to us is relevant and accurate; you are independently responsible for understanding our Privacy Policy. The Privacy Policy may be changed, modified, or revised. If you continue to use our services after the changes take effect, it signifies your agreement to these changes. We kindly ask you to periodically review the Privacy Policy to understand its latest version.
12. CozyPal uses necessary encryption technologies to securely store user data (including but not limited to all user profile information and transmission information between users: text, images, videos, audio, etc.) and conducts regular security audits and penetration testing;
13. The retention period of your account data corresponds to the duration of the account. If you do not log in again within 15 days after submitting an account cancellation request, CozyPal will complete data deletion (except for data required to be retained by laws and regulations);
14. Only necessary personnel are authorized to access user data, and access logs are retained. In the event of a data breach, CozyPal will notify affected users of the breach scope, risk level, and remedial measures via an APP pop-up within 72 hours.
15. You have the right to correct or delete personal data through the "Personal Center - Edit Profile" page in the APP. CozyPal shall respond and process this within 15 days;
16. For health-sensitive data, you can apply separately to turn off collection permissions without affecting the use of other functions.

IV. Prohibited Content

CozyPal prohibits you or your AI agent from uploading or sharing the following content:

1. Content deemed offensive, harassing, upsetting, embarrassing, alarming, or annoying to others;
2. Content that is obscene, pornographic, violent, or violates human dignity, or contains nudity;
3. Content containing links to high-risk cryptocurrency platforms, external phishing sites, or transmitting "spam";
4. Content that is abusive, insulting, threatening, discriminatory, or promotes racism, sexism, hatred, or bigotry;
5. Content that encourages or assists any illegal activities (including but not limited to terrorism, human trafficking, money laundering, child abuse and exploitation, inciting violence or hatred);
6. Content that encourages or assists activities that may cause harm to users or others (including but not limited to promoting self-harm, eating disorders, dangerous challenges, violent extremism);
7. Content that defames, libels, or infringes upon the rights of any third party (including but not limited to intellectual property rights or privacy rights);
8. Content containing any spyware, adware, viruses, corrupted files, worms, or other malicious code designed to interrupt, damage, limit functionality, or interfere with any software, hardware, telecommunications, networks, servers, or other equipment;
9. Content containing another person's likeness without their consent (or the consent of a parent/guardian for minors);
10. Content that may harm the reputation of CozyPal or its affiliates, meaning uploading or sharing content on the CozyPal platform that defames or insults any services provided by CozyPal or its affiliates.

Uploading or sharing content that violates these terms ("Prohibited Content") may result in the immediate suspension or cancellation of your account.

V. How to Use CozyPal's Services

You can download, log in, and register for free through the CozyPal application or applications provided by other channels, and enjoy CozyPal's basic functions without paying.

1. Login and Registration

1. Open the CozyPal application and enter the login page. CozyPal supports three third-party quick login methods: Apple, Google, and Facebook. Click the corresponding login method, and the system will automatically request authorization.
2. First-time registered users and users who have previously registered with CozyPal but have not completed the full basic information authentication process will directly enter the unauthenticated homepage; users who have registered with CozyPal and have made custom AI settings can directly enter the authenticated homepage, subject to in-APP guidelines.
3. After you complete the full basic information authentication process, you can enjoy CozyPal's basic functions, such as "Daily Offline Report" push, "Weekly Radar Match", and "AI Chatting"; female users who complete real-name authentication will receive a free 1-month membership from CozyPal, subject to in-APP display.

2. Membership and Subscription

CozyPal provides free services and membership services. The provision of free service functions should not be deemed as CozyPal waiving the right to charge fees in the future. CozyPal has the right to unilaterally change the currently free service content, service period, and service standards according to actual conditions, and you understand and accept such changes. CozyPal will notify or announce this on the corresponding service pages.

When you choose to purchase a membership subscription package/single-payment privilege, you authorize CozyPal to store your payment information and other relevant information. You also agree to pay applicable fees for paid services as they become due (including but not limited to recurring fees for continuous subscriptions specified in the service, and all relevant taxes (including but not limited to sales tax and use tax, customs duties, or other government taxes), and to reimburse us for all collection costs and interest for overdue amounts. You can read the "CozyPal Membership Service Agreement" in detail.

When you choose to use the membership subscription service by "checking a box individually" or using an "independent confirmation button", it indicates that you agree your membership privileges will automatically renew. Specific renewal rules are subject to the "Membership Renewal Agreement".

3. Push Notifications

To enhance and improve communication and interaction between CozyPal and you, CozyPal may send you notices through various communication methods (such as instant messages, pop-up windows, etc.), collectively referred to as "Push Notifications". If you receive push notifications within the APP, you should understand and accept this.

4. Ownership of User Information and Related Intellectual Property Rights

The information you submit to CozyPal during registration (such as gender, education, height, and personal beliefs), as well as any data, photos, text, graphics, videos, and other materials you submit or publish on CozyPal (hereinafter collectively referred to as "User Content") do not infringe on the legal rights of others, and you own full intellectual property rights; if the platform suffers losses due to infringement by User Content, you shall bear full compensation liability.

CozyPal may, based on risk control requirements, delete or block User Content suspected of being illegal, irregular, or false without prior notice to you.

Notwithstanding the above, you agree that CozyPal may retain copies of all registration information and User Content, and use such information and User Content reasonably and necessarily as described in this Agreement and the Privacy Policy. You grant CozyPal the right to use them during the service period and within a reasonable period after service termination, but the use of such rights is limited to the necessary purposes of providing this service to you, improving algorithms, and legal compliance. The specific scope of use is governed by the Privacy Policy.

All text, images, marks, logos, compilations (meaning the collection, arrangement, and assembly of information), data, other content, software, and materials used by CozyPal to operate the services, excluding any user information, are the exclusive property of us or third parties.

During your use of the services, if you need to delete/export your personal information, you must apply to CozyPal in advance, and CozyPal will process it within 15 days of receiving the application.

VI. Platform Usage Guidelines

The services provided by CozyPal are not intended for users under the age of 18 (or under the legal age of majority in your country/region).

You acknowledge and agree that CozyPal and the services it provides contain proprietary rights and confidential information protected by applicable intellectual property laws and other laws, and such information is the exclusive property of CozyPal, its licensors, or other CozyPal partners. Unless otherwise stipulated in writing, this Service is for your personal, non-commercial use only.

When using this Platform and/or Service, you acknowledge and agree that you will not:

1. Copy, reverse engineer, reverse assemble, or otherwise attempt to discover the source code, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained through this Platform or Service;
2. Use any robot, spider, crawler, platform search and/or retrieval application, or other device to scrape, crawl, database-scrape, screen-scrape, gather, collect, extract, retrieve, or index any part of the Services;
3. Use the text, code, images, audio, or other content in the services for dataset creation, analysis, data mining, or for AI/machine learning model training or development without written permission from CozyPal;
4. Access the Platform or Service by any means other than through industry-recognized standard interfaces or interfaces provided by CozyPal;
5. Remove any author attributions, legal notices, or proprietary designations or labels;
6. Share CozyPal's application and/or any content or data contained in CozyPal services with any minor or person under 18 years of age (whichever is older), assist them in creating a profile, or induce them to access CozyPal's services in any other way;

(Although you understand and acknowledge that CozyPal has no obligation to pre-screen, review, control, monitor, or edit User Content and is not responsible for User Content provided by others, you agree that CozyPal reserves the right, at its sole discretion, to review, edit, refuse to accept, or delete User Content at any time for any reason or no reason, without notice. This includes CozyPal's right to modify, crop, or edit any photos you submit to comply with CozyPal's policies, practices, and procedures and to ensure your safety and the platform's legality);

7. Use the Platform or Service in any manner that could damage, disable, overburden, or impair CozyPal servers or networks, or interfere with any other user's use and enjoyment of the Platform and/or Service;
8. Gain or attempt to gain unauthorized access to any Platform, Service, accounts, computer systems, or networks connected to CozyPal through hacking, password mining, or any other means;
9. Collect or otherwise acquire (such as scraping) other users' information (including but not limited to others' names, birth dates, IP addresses, bank card numbers, education, and membership information) without the consent of other users;
10. Use the Platform in any manner that may damage, disparage, or otherwise negatively impact CozyPal.

VII. Disclaimer

1. CozyPal is committed to providing safe, stable, and continuous services to ensure normal user use, but CozyPal only provides services on an "as is" and "as available" basis. CozyPal bears no responsibility other than those expressly stipulated by law, such as: no guarantee that this service will be uninterrupted or error-free in operation, no guarantee that there is the capability to correct all service defects at the current technological level, and no guarantee that the service will meet all user requirements. CozyPal will make the greatest effort, based on existing technology, to provide corresponding security measures to ensure the platform's security and normal operation, including but not limited to limiting the number of server requests a user can send at a single time. After the number of user requests reaches the risk warning limit within a specific time period, your account may be suspended based on service operation security considerations. If third-party developers call the CozyPal platform API without authorization, resulting in account abnormalities / data leaks, the platform assumes no responsibility.
2. Due to possible factors such as computer viruses, network communication failures, system maintenance, and unforeseeable force majeure or accidental events, CozyPal explicitly declares that it makes no express or implied warranties regarding this service, including the applicability, absence of errors or omissions, continuity, accuracy, reliability, fitness for a particular purpose, or satisfaction of user needs and usage effects of this service. Meanwhile, CozyPal strives to provide 7x24 hour service, but subject to internet infrastructure, force majeure, and necessary system maintenance, service interruptions may occur. Users should independently back up key information such as their radar matching records and AI chat data. CozyPal assumes no recovery or compensation responsibility for data loss caused by users failing to back up in time or client-side reasons (such as equipment damage or network interruption).
3. Artificial intelligence and machine learning are rapidly evolving fields of research, and CozyPal is continuously striving to improve this service to make it more accurate, reliable, safe, and trustworthy. AI agents are automated tools, and their outputs do not represent CozyPal's positions, suggestions, or guarantees. CozyPal also does not guarantee the accuracy, success rate, or effectiveness of AI matching, AI chatting, and recommendation results, and all interaction risks are borne solely by the user. You should make your own judgments regarding the outputs in this service and bear all risks arising from the use of the content. We remind you that, except as expressly stipulated by law, CozyPal cannot and will not be liable for any loss or damage caused by the aforementioned risks.
4. We may launch new features from time to time. We remind you that during the testing period of new features, there may be service instability. Except as expressly stipulated by law, CozyPal cannot and does not guarantee the stability of functional services during the testing period.
5. This Platform may contain information, links, or advertisements of websites operated by other parties ("Third-Party Websites"). Additionally, emails sent to users of this Platform may also contain information, links, or advertisements of Third-Party Websites. We cannot control such Third-Party Websites and are not responsible for their content and performance, or any transactions you may choose to conduct with any Third-Party Website operators. CozyPal is not responsible for linked Third-Party Websites, websites embedded within the platform, or third-party advertisements on the platform, as well as content in emails sent from this Platform. CozyPal makes no representations regarding their content or accuracy. Your use of Third-Party Websites is at your own risk and subject to the terms and conditions of use of such websites. You agree that CozyPal assumes no liability for any damage or loss caused by your access to, use of, or reliance on any Third-Party Websites, software, data, or other information.
6. Any consequences resulting from a user's violation of relevant laws and regulations or this Agreement shall be independently borne by the user, who shall compensate for losses, and CozyPal is not related thereto. If a user's use of this service subjects CozyPal or other entities cooperating with the CozyPal company to any complaints, reports, inquiries, claims, or lawsuits, or causes CozyPal or other cooperating entities to suffer any loss of reputation, prestige, or property, you shall actively take all possible measures to ensure that CozyPal and cooperating entities are free from the impact of the above claims and lawsuits. At the same time, you bear full compensation responsibility for the direct and indirect economic losses suffered by CozyPal and cooperating entities as a result.
7. If a user has the aforementioned behaviors violating "VI. Platform Usage Guidelines", CozyPal has the right to take reasonable processing measures that CozyPal deems appropriate, such as warning, restricting functions, suspending or terminating the provision of services, deleting illegal and irregular information, and locking accounts, and keep relevant records. If there are objections to the processing results, users can appeal to us in accordance with the provisions of Article VIII, and we will promptly accept, process, and provide feedback. CozyPal has the right to publish the account information of violating users in the APP to warn other users, without prior notice to the violating users.
8. When a user is banned due to violating this Agreement or CozyPal platform rules, all fees paid by the user, including membership fees, are non-refundable.

VIII. Complaints, Reporting/Appeal Processing

1. Complaints

If you believe CozyPal is involved in infringing upon your intellectual property or other rights, or if you discover any illegal, false information, or usage behaviors that violate this Agreement, you can send relevant complaint materials to the email cozypal@cozypal.chat. CozyPal has no prior review obligation for user communication content and only conducts verification and processing after receiving complaints, including timely taking reasonable disposal measures such as stopping generation, stopping transmission, and banning accounts.

2. Reporting, Blocking

To ensure you have a safe, healthy, and comfortable social experience while using CozyPal, CozyPal has set up reporting and blocking functions:

1. If you encounter the following behaviors during communication with other users: harassment, bullying, hate speech, or inappropriate behavior; impersonation, publishing false profiles; committing fraud, requesting property, or other suspicious financial requests; sending explicit, pornographic, or inappropriate content, etc., you can enter the reporting page via the top right menu "…" in the chat interface, select the corresponding reporting reason, and submit. Upon receiving the report, CozyPal will verify the relevant content and take measures including but not limited to warnings and account bans based on the verification results.
2. You may also block or unblock other users based on your chat experience, but CozyPal reminds you to note that if you choose to block someone, the chat records, AI memory, and conversation data of both parties will be completely hidden/archived on your client. Please choose carefully; the blocking action will not notify the other party.

3. Appeals

If you believe CozyPal has inappropriately restricted your ability to use this Platform, you can send relevant appeal materials to the email cozypal@cozypal.chat. The materials required for appeal must at least include your account information, email information, current account status, under what usage circumstances measures were taken against the account, and what measures you hope we will take to restore your ability to use this service. After you submit an appeal application, we will take reasonable measures to process it, and we will notify you of the appeal result via email.

IX. Intellectual Property Infringement Processing

If you believe CozyPal is involved in infringing upon intellectual property rights, including your copyrights, you must submit a claim in accordance with the requirements of the Digital Millennium Copyright Act (DMCA), including the physical signature of the copyright owner (electronic signature is valid), proof of ownership of the infringed work, specific location of the infringing content within the platform, valid contact information of the copyright owner, a statement of good faith by the copyright owner (confirming there is a reasonable belief that the accused infringing behavior is not authorized by the copyright owner or relevant rights holder), and a perjury penalty statement by the copyright owner (confirming the complaint materials are true and willing to bear legal liability for perjury). CozyPal designates the DMCA copyright complaint email as cozypal@cozypal.chat.

Upon receiving qualified and complete complaint materials, CozyPal will promptly take reasonable disposal measures such as stopping generation, stopping transmission, deleting, or blocking.

If your content is removed by the platform due to a copyright infringement complaint, you can submit a counter-notice to cozypal@cozypal.chat requesting restoration. The counter-notice must include: user's physical signature (electronic signature is valid), identification and original published location of the removed content, proof of user's lawful use of the content, valid contact information of the user, a perjury penalty statement by the user (confirming counter-notice materials are true and willing to bear legal liability for perjury), and a statement agreeing to accept the exclusive jurisdiction of the courts of San Francisco County, California.

Upon receiving a qualified counter-notice, CozyPal will forward the notice to the complainant. If the complainant fails to notify CozyPal within 10-14 business days that a copyright infringement lawsuit has been filed, CozyPal will restore the removed content.

Content restoration or removal operations conducted by CozyPal under this article do not represent a definitive qualification of the infringing behavior; the complainant or the respondent shall independently bear the relevant legal responsibilities.

CozyPal is solely an information storage and service provider and has no prior review obligation for content uploaded by users. If CozyPal has promptly taken reasonable disposal measures after receiving a copyright infringement complaint complying with this Agreement, it assumes no direct infringement liability; CozyPal assumes no indirect infringement liability for infringement behaviors not discovered in a timely manner or subsequent infringement behaviors after disposal measures have been taken.

X. Governing Law and Dispute Resolution

This Agreement and your use of the services are governed by the laws of the State of California (excluding its conflict of laws rules) and apply the Federal Arbitration Act (Federal Arbitration Act, 9 U.S.C. § 1 et seq.).

Any dispute, claim, or controversy arising out of or relating to this Agreement or the use of the services shall first be resolved through friendly negotiation; if negotiation fails, it shall be submitted to San Francisco County, California, USA, for binding individual arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA), excluding court litigation and jury trials. You and CozyPal irrevocably waive the right to class actions, class arbitrations, representative actions, and representative arbitrations. All disputes may only be resolved individually in a personal capacity and shall not be consolidated with the claims of others. The arbitration award shall be final and binding on both parties and may be enforced by any court of competent jurisdiction.

XI. Miscellaneous

1. You agree that this Agreement, together with the Privacy Policy, Membership Service Agreement, Membership Renewal Agreement, and any additional terms, constitutes the entire agreement between you and CozyPal regarding the use of the services, and supersedes all prior agreements and understandings (including but not limited to any prior versions of this Agreement), unless the parties have reached a separate written agreement applicable to the services that expressly governs this Agreement.
2. If any provision or part thereof is deemed illegal, invalid, or unenforceable, that provision will be modified and interpreted in accordance with any applicable laws to achieve the goals of that provision to the greatest extent possible, and the remaining provisions will continue in full force and effect, unless otherwise specified herein.
3. This Agreement and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be transferred or assigned by CozyPal without restriction. Any attempted transfer or assignment in violation of this Agreement shall be null and void.
4. Any waiver of any breach or default under this Agreement or any provision hereof shall not constitute a waiver of any subsequent breach or default or a waiver of the provision itself. If you breach this Agreement, CozyPal's failure to timely exercise or failure to exercise any rights under this Agreement shall not affect the exercise of such rights, nor shall it constitute a waiver of such rights; CozyPal's waiver of pursuing any covenants, conditions, or agreements you are required to perform shall also not constitute a waiver of any subsequent breaches by you or any other covenants, conditions, or agreements under this Agreement.

XII. Updates and Termination of this Agreement

Your acceptance of this Agreement includes your acceptance of any modifications made by CozyPal to any terms of this Agreement at any time.
